1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you," "User") and Visiondynamics AG, headquartered in Zug, Switzerland ("Company," "we," "us," or "our"), concerning your access to and use of our applications, interfaces, and associated web properties.

By accessing our applications, you agree that you have read, understood, and agreed to be bound by all of these Terms of Service. If you do not agree with all of these terms, you are expressly prohibited from using our services and must discontinue use immediately.

2. Modifications to Terms

We reserve the absolute right, at our sole and unfettered discretion, to modify, amend, supplement, or replace these Terms at any time and without prior notice. Such modifications become immediately effective upon publication to this page. It is your responsibility to review these Terms periodically.

Your continued access to or use of our applications, interfaces, or any ecosystem property after any modifications are posted constitutes your irrevocable acceptance of and binding agreement to the revised Terms. If you do not agree to any amended Terms, your sole remedy is to immediately discontinue all use of our services.

3. Non-Custodial Interfaces

Visiondynamics AG operates strictly as a software engineering firm and interface provider. We design private applications that interact with distributed ledgers, but we do not operate, control, or validate any underlying blockchain networks ourselves. Our architecture is unequivocally non-custodial.

At no point do we take possession, custody, or control of your cryptographic private keys, digital assets, or decentralized identities. You maintain absolute sovereignty over your assets. We cannot recover lost keys, reverse transactions broadcast to independent networks, or freeze assets held at addresses you control.

4. No Fiduciary Duty

Visiondynamics AG does not act as a financial institution, broker, dealer, exchange, custodian, investment adviser, or creditor. We owe no fiduciary duties or obligations to you or any third party. Nothing in these Terms or within our applications creates an advisory, fiduciary, or professional-client relationship between you and Visiondynamics AG.

5. User Representations and Obligations

By using our services, you represent and warrant that:

• You have the legal capacity and authority to agree to these Terms.
• You are not a minor in the jurisdiction in which you reside.
• You will not access the applications through automated or non-human means, whether through a bot, script, or otherwise, except as expressly permitted.
• You will not use our applications for any illegal or unauthorized purpose, including but not limited to money laundering, terrorist financing, or sanctions evasion.
• Your use of the services will not violate any applicable law or regulation in your jurisdiction.
• You are solely responsible for maintaining the security of your cryptographic keys, hardware wallets, and account credentials.
• You are not located in, or a citizen or resident of, any jurisdiction where the use of such services would be prohibited or restricted.

6. Assumption of Risk

You expressly acknowledge and assume all risks associated with:

• The use of decentralized networks, cryptographic assets, and smart contract technology, including but not limited to the total and irrecoverable loss of funds.
• Regulatory uncertainty and the potential for future laws, regulations, or enforcement actions that may adversely affect the availability, functionality, or legality of our applications or underlying networks.
• Smart contract vulnerabilities, protocol failures, oracle manipulation, network congestion, and other technical risks inherent to distributed ledger environments.
• The volatility of digital asset prices, which may result in significant financial loss.

Visiondynamics AG shall bear no responsibility or liability for any of the foregoing risks, and you hereby irrevocably waive, release, and discharge all claims arising from such risks against us.

7. Intellectual Property Rights

Unless otherwise indicated, the Site, interfaces, and proprietary application code are our proprietary property. While we may open-source certain components of our ecosystem under specific licenses, all trademarks, service marks, and logos contained therein are owned or licensed by Visiondynamics AG and are subject to copyright and intellectual property rights under Swiss and international law. Unauthorized reproduction, distribution, or exploitation of any content is strictly prohibited.

8. Disclaimer of Warranties

THE APPLICATIONS ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS WITHOUT ANY REPRESENTATION OR WARRANTY, EXPRESS OR IMPLIED, OF ANY KIND. VISIONDYNAMICS AG EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We make no warranty that our network interfaces will be uninterrupted, timely, secure, error-free, or free from viruses or other harmful components, nor do we guarantee the accuracy, reliability, or completeness of any information displayed, nor the execution of any on-chain transaction by third-party distributed ledgers.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE SWISS LAW (INCLUDING ART. 100 OF THE SWISS CODE OF OBLIGATIONS), IN NO EVENT SHALL VISIONDYNAMICS AG, ITS PARENT ENTITIES, SUBSIDIARIES, AFFILIATES, SUCCESSORS, ASSIGNS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, OR LICENSORS (COLLECTIVELY, THE "VISIONDYNAMICS PARTIES") BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOST REVENUE, LOSS OF DATA, LOSS OF GOODWILL, OR OTHER INTANGIBLE LOSSES, UNDER ANY LEGAL THEORY WHATSOEVER (INCLUDING CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF THE VISIONDYNAMICS PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED ONE HUNDRED SWISS FRANCS (CHF 100.00).

10. Indemnification

You agree to defend, indemnify, and hold harmless the Visiondynamics Parties from and against any and all claims, damages, obligations, losses, liabilities, costs, debt, and expenses (including but not limited to reasonable attorneys' fees and expenses) arising from: (a) your use of and access to our applications; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including without limitation any intellectual property, property, or privacy right; or (d) any claim that your use of the applications caused damage to a third party. This defense and indemnification obligation will survive these Terms and your use of the applications.

11. Governing Law and Binding Arbitration

These Terms and your use of our applications are governed by and construed in accordance with the substantive laws of Switzerland, excluding its conflicts of law rules. Any dispute, controversy, or claim arising out of or in connection with these Terms, including the validity, invalidity, breach, or termination thereof, shall be resolved exclusively by binding arbitration in accordance with the Swiss Rules of International Arbitration of the Swiss Arbitration Centre. The seat of the arbitration shall be Zug, Switzerland, and the arbitral proceedings shall be conducted in English.

12. Class Action and Representative Action Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND VISIONDYNAMICS AG AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU EXPRESSLY WAIVE ANY RIGHT TO FILE OR PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR OTHER REPRESENTATIVE PROCEEDING AGAINST US. IF THIS WAIVER IS FOUND TO BE UNENFORCEABLE, THEN THE ENTIRETY OF THIS DISPUTE RESOLUTION PROVISION SHALL BE NULL AND VOID.

13. Force Majeure

Visiondynamics AG shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, pandemics, acts of war or terrorism, government actions, regulatory changes, sanctions, network failures, blockchain protocol failures, cyberattacks, or disruptions to critical third-party infrastructure.

14. Severability

If any provision of these Terms is found by a court of competent jurisdiction or arbitral tribunal to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. Such determination shall not affect the validity and enforceability of any remaining provisions, which shall continue in full force and effect.

15. No Waiver

No failure or delay by Visiondynamics AG in exercising any right, power, or remedy under these Terms shall operate as a waiver thereof. No single or partial exercise of any right, power, or remedy shall preclude any other or further exercise of that or any other right, power, or remedy. The rights and remedies provided in these Terms are cumulative and not exclusive of any rights or remedies provided by law.

16. Entire Agreement

These Terms, together with our Privacy Policy and any other policies expressly incorporated by reference, constitute the entire agreement between you and Visiondynamics AG regarding your use of our applications and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the subject matter herein.

17. Ecosystem Applicability

These Terms of Service serve as the foundational governance document for Visiondynamics AG. They may be supplemented by product-specific terms, notices, and disclosures for our individual applications and interfaces. Where a product-specific notice addresses a service-specific feature, risk, workflow, or data-processing disclosure, the product-specific notice controls for that service.
